1.3

By accessing or using the Website, you agree to comply with these Terms. If you do not agree to these Terms, you should not use the Website.

1.4

These Terms apply to your use of the Website. Where you purchase, sell, consign, trade or otherwise transact in relation to a vehicle with Best Bidder Limited, additional terms may apply to that particular transaction. Those terms will be provided to you separately where applicable.

1.5

Nothing in these Terms is intended to exclude or restrict any statutory rights or protections that you have under applicable law.

2. DEFINITIONS

In these Terms:

“Best Bidder”, “we”, “us” or “our” means Best Bidder Limited.

“Business Customer” means a person or organisation using the Website or transacting with us wholly or mainly for purposes relating to their trade, business, craft or profession.

“Consumer” means an individual acting for purposes wholly or mainly outside that individual’s trade, business, craft or profession.

“Content” means any text, photographs, images, video, graphics, vehicle information, descriptions, logos and other material appearing on the Website.

“Vehicle” means any motor vehicle, commercial vehicle or other vehicle advertised, offered for sale, purchased, valued, sourced or otherwise referred to on the Website.

“Website” means the Best Bidder website and any associated pages, forms, functionality and services made available through it.

3. USE OF THE WEBSITE

3.1

You may use the Website for lawful purposes only.

3.2

You must not use the Website:

  • in breach of any applicable law or regulation;

  • for any fraudulent, unlawful or deceptive purpose;

  • to obtain unauthorised access to our systems or information;

  • to interfere with the operation, security or availability of the Website;

  • to introduce viruses, malware, malicious code or other harmful material;

  • to attempt to gain unauthorised access to any account, database, server or network connected to the Website;

  • to scrape, copy, reproduce or systematically extract Website Content for commercial purposes without our prior written permission; or

  • in any way that could damage, disable, overburden or impair the Website.

3.3

You must ensure that any information you provide to us through the Website is accurate, complete and not misleading.

3.4

If you provide information relating to a Vehicle, including its registration number, mileage, ownership, condition, service history or specification, you are responsible for ensuring that the information provided is accurate to the best of your knowledge.

4. WEBSITE INFORMATION

4.1

We endeavour to ensure that information displayed on the Website is accurate and up to date.

4.2

However, vehicle specifications, descriptions, photographs, prices, availability, mileage and other information may change from time to time.

4.3

Photographs and images are provided for illustrative purposes. The appearance of a Vehicle may vary from photographs displayed on the Website.

4.4

Any information relating to a Vehicle displayed on the Website is subject to confirmation by Best Bidder before a transaction is completed.

4.5

An advertisement, listing or description of a Vehicle on the Website does not constitute an unconditional offer by Best Bidder to sell that Vehicle.

4.6

A Vehicle may become unavailable before you contact us or before a transaction is completed. We reserve the right to withdraw or amend a listing where appropriate.

4.7

Where information about a Vehicle is supplied by a third party, including a vehicle owner, manufacturer, supplier, auction house, trade customer or other source, we may rely on that information unless we have reason to believe that it is inaccurate.

4.8

Nothing in this section limits any rights you may have where you have entered into a contract with us as a consumer.

5. VEHICLE PURCHASES

5.1

If you wish to purchase a Vehicle advertised on the Website, you should contact us using the details provided on the Website.

5.2

An enquiry, request for a valuation, expression of interest or submission of information through the Website does not itself create a contract for the purchase or sale of a Vehicle.

5.3

A contract for the purchase of a Vehicle will only be formed when the relevant contractual requirements have been satisfied and the purchase has been expressly accepted by Best Bidder.

5.4

Where applicable, the specific vehicle sale agreement, invoice or other contractual document provided to you will contain the terms governing that transaction.

5.5

Nothing in these Terms removes or restricts any rights that apply to consumers under applicable UK consumer protection legislation.

5.6

Where a Vehicle is sold to a Consumer, the Vehicle will be supplied in accordance with the statutory requirements applicable to consumer sales, including applicable requirements concerning satisfactory quality, fitness for purpose and conformity with its description.

5.7

Where a Consumer has a statutory right to reject, repair, replacement, price reduction, refund or another remedy, nothing in these Terms is intended to prevent the Consumer from exercising that right.

6. VEHICLE SALES AND VALUATIONS

6.1

The Website may allow you to submit information about a Vehicle that you wish to sell or otherwise dispose of.

6.2

Any valuation, indicative price or estimate provided through the Website is subject to verification.

6.3

A valuation may be based on information supplied by you and may therefore change if the Vehicle’s condition, mileage, specification, ownership, documentation, history or other relevant circumstances differ from the information originally supplied.

6.4

An indicative valuation does not constitute a binding offer to purchase a Vehicle unless expressly stated otherwise by Best Bidder in writing.

6.5

Before completing a purchase from you, we may inspect or arrange for the inspection of the Vehicle and may request supporting documentation.

6.6

You must have the legal right and authority to sell or transfer the Vehicle to us.

6.7

You must disclose any finance, security interest, outstanding hire purchase, lease arrangement or other third-party interest affecting the Vehicle before completing a sale.

6.8

You must not knowingly provide false, misleading or materially incomplete information about a Vehicle.

7. VEHICLE CONDITION AND INSPECTION

7.1

Where we purchase or sell a Vehicle, its condition may be assessed by us or by an independent third party.

7.2

Where applicable, the condition of a Vehicle may include consideration of:

  • mechanical condition;

  • bodywork and paintwork;

  • interior condition;

  • mileage;

  • service history;

  • accident or damage history;

  • MOT history;

  • specification and optional equipment;

  • ownership and provenance;

  • finance or security interests; and

  • other matters reasonably relevant to the Vehicle’s value or condition.

7.3

Any inspection does not necessarily identify every existing or future mechanical, electrical or cosmetic issue.

7.4

Where we sell a Vehicle to a Consumer, nothing in this section limits the Consumer’s statutory rights.

8. PRICES AND PAYMENT

8.1

Unless expressly stated otherwise, prices displayed on the Website are subject to confirmation.

8.2

Where applicable, the price payable for a Vehicle will be confirmed before the transaction is completed.

8.3

Any applicable taxes, fees, delivery charges or other charges will be communicated to you where required before you become contractually bound.

8.4

Payment must be made using a payment method accepted by Best Bidder.

8.5

We may require payment to be cleared before a Vehicle or other goods are released.

8.6

Where a transaction is cancelled or a refund is required by law or by the applicable contractual terms, the refund will be handled in accordance with those requirements.

9. TRADE CUSTOMERS

9.1

We may provide separate services, pricing or arrangements to trade customers.

9.2

Where you deal with us in the course of your business, additional trade terms may apply.

9.3

Any separate written agreement entered into between Best Bidder and a Business Customer will take precedence over these Terms to the extent of any inconsistency.

9.4

Nothing in these Terms is intended to create or imply a partnership, joint venture, agency or employment relationship between Best Bidder and any Business Customer.

10. WEBSITE AVAILABILITY

10.1

We aim to keep the Website available and functioning properly but do not guarantee that it will always be available, uninterrupted or error-free.

10.2

We may temporarily suspend, withdraw, restrict or modify all or part of the Website for maintenance, security, technical, operational or commercial reasons.

10.3

We are not responsible for interruptions caused by circumstances outside our reasonable control.

10.4

We do not guarantee that the Website or any Content will be free from viruses or other harmful components. You should maintain appropriate security and antivirus measures when accessing the Website.

11. INTELLECTUAL PROPERTY

11.1

Unless otherwise stated, all intellectual property rights in the Website and its Content belong to Best Bidder Limited or our licensors.

11.2

This includes, without limitation:

  • trademarks;

  • logos;

  • photographs;

  • graphics;

  • text;

  • website design;

  • page layouts;

  • databases;

  • software; and

  • other original material appearing on the Website.

11.3

You may view, download and print reasonable extracts of Website Content for your personal and non-commercial use.

11.4

You must not reproduce, modify, distribute, publish, sell, license, commercially exploit or otherwise use Website Content without our prior written permission, except where permitted by law.

11.5

Nothing in these Terms transfers ownership of any intellectual property rights to you.

12. THIRD-PARTY WEBSITES AND SERVICES

12.1

The Website may contain links to websites, services or resources operated by third parties.

12.2

Third-party links are provided for convenience only.

12.3

We do not control third-party websites and are not responsible for their content, availability, security, privacy practices or terms and conditions.

12.4

Your use of a third-party website or service is subject to that third party’s own terms and policies.

13. USER-SUBMITTED INFORMATION

13.1

Where the Website allows you to submit information, photographs, documents, reviews, enquiries or other material, you remain responsible for the information you provide.

13.2

You confirm that you have the necessary rights and permissions to provide any material submitted to us.

13.3

You must not submit material that is unlawful, defamatory, fraudulent, misleading, infringing, abusive or otherwise inappropriate.

13.4

We may remove or decline to publish material submitted to the Website where we reasonably consider this necessary.

13.5

Our processing of personal data is governed by our Privacy Policy.

14. PRIVACY AND DATA PROTECTION

14.1

We process personal data in accordance with applicable data protection legislation and our Privacy Policy.

14.2

Our Privacy Policy explains how we collect, use, store and protect personal data and the rights available to individuals.

14.3

By using the Website, you acknowledge that your personal data may be processed in accordance with our Privacy Policy.

15. LIMITATION OF LIABILITY

15.1

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law.

15.2

In particular, nothing in these Terms excludes or limits liability for:

  • death or personal injury caused by negligence;

  • fraud or fraudulent misrepresentation;

  • breach of statutory rights that cannot lawfully be excluded or restricted; or

  • any other liability that cannot lawfully be excluded or restricted.

15.3

Subject to clause 15.1, we will not be responsible for losses that are not reasonably foreseeable or which do not arise naturally from our breach of these Terms.

15.4

We are not responsible for loss caused by circumstances outside our reasonable control.

15.5

Nothing in this section affects the statutory rights of a Consumer.

16. EVENTS OUTSIDE OUR CONTROL

16.1

We will not be liable for any failure or delay in performing an obligation where the failure or delay results from an event outside our reasonable control.

16.2

Such events may include, where applicable:

  • natural disasters;

  • fire;

  • flood;

  • severe weather;

  • war;

  • terrorism;

  • civil unrest;

  • industrial disputes;

  • government action;

  • interruption to telecommunications or internet services;

  • failure of third-party suppliers or service providers;

  • cyber incidents; or

  • other circumstances beyond our reasonable control.

16.3

Where such an event affects a transaction with you, we will take reasonable steps to notify you and minimise the impact where practicable.

17. TERMINATION OR RESTRICTION OF WEBSITE ACCESS

17.1

We may restrict or suspend your access to the Website where we reasonably believe that you have:

  • breached these Terms;

  • attempted to misuse the Website;

  • engaged in fraudulent or unlawful activity; or

  • created a security or operational risk for the Website or other users.

17.2

Where appropriate, we may take technical or legal measures to prevent further misuse.

17.3

Termination or restriction of access to the Website does not affect any rights or obligations that have already arisen.

18. COMPLAINTS

18.1

We aim to provide a high standard of service.

18.2

If you have a complaint about our Website, service or dealings with you, please contact us using:

19.1

We may update these Terms from time to time to reflect changes to the Website, our services, applicable law or our business arrangements.

19.2

The latest version will be published on the Website.

19.3

The version applicable to your use of the Website will normally be the version displayed at the time you access or use the relevant service, subject to any mandatory legal requirements.

19.4

Where you have already entered into a contract with us, any changes to these Website Terms will not retrospectively alter the terms of that contract unless you expressly agree otherwise or the change is required by law.

20. GOVERNING LAW AND JURISDICTION

20.1

These Terms and your use of the Website are governed by the law of England and Wales.

20.2

21. GENERAL

21.1

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be treated as modified or removed to the minimum extent necessary, and the remaining provisions will continue to apply.

21.2

A failure or delay by us to exercise a right or remedy does not constitute a waiver of that right or remedy.

21.3

You may not transfer or assign your rights or obligations under these Terms without our prior written consent, except where permitted by law.

21.4

We may transfer or assign our rights and obligations under these Terms where reasonably necessary in connection with a corporate reorganisation, sale of the business or transfer of the relevant Website operations, subject to applicable law.
